At YDUQS, we appreciate ethics, integrity and transparency in all strategic business initiatives and in the daily operation of each of our education brands.

We are aligned with the best corporate governance practices in the education industry, and we comply with the existing laws and regulations enacted by regulatory agencies, such as the Brazilian Securities and Exchange Commission (CVM) and the Ministry of Education (MEC). The Company is signatory to Instituto Ethos’ Corporate Integrity and Anti-Corruption Pact, geared towards uniting companies in fostering a more upright and ethical market in order to end corruption.

The Compliance department is structured to serve the entire company, aimed at preventing, detecting and correcting ethical misconducts, in addition to possible non-compliance with internal policies, agreements, and laws.

Compliance Program

YDUQS Compliance Program’s main purpose is to prevent ethical and other misconducts, valuing transparency in the internal relationships between senior management, managing positions, administrative and academic employees, faculty and interns, as well as external relationships with stakeholders and third parties (external auditors; consultants; maintenance and security teams, and others), thus fostering an upright environment in all spheres of relationship.

Goals:

  • To continually strengthen the Company’s ethics culture,
  • To prevent non-compliance with existing laws, codes, policies and regulations,
  • To ensure transparency and integrity in all its relationships,
  • To avoid any personal benefits and conflicts of interest,
  • Mitigate fraud risks, as well as financial and reputational losses,

  • Engagement of all employees and other stakeholders,
  • Strong support from the senior management,
  • Clear policies, updated in accordance with the current legislation,
  • Mechanisms to make it easier for employees to access and accept the company’s code of ethics and conduct and anti-corruption code,
  • Mandatory Compliance Training offered to all high-risk employees and outsourced services;
  • Channels to receive questions and suggestions,
  • Internal Communication Campaigns,
  • Fully exempt and independent structure in charge of investigating claims,
  • Conduct Committee comprising members from key-departments, in charge of conducting administrative investigations and applying disciplinary measures to the claims received through the Canal Confidencial,
  • Independent Ethics Committee working to address complex and high-impact claims received through the Canal Confidencial, according to the organization’s thresholds,

Code of Ethics and Conduct

YDUQS’S Code of Ethics and Conduct is the instrument that governs the relationships between the Company and its several stakeholders, based on ethical, integrity and transparency principles. Click here to view the Code of Ethics and Conduct (Only Portuguese).

Anti-Corruption Code

YDUQS’S Anti-Corruption Code establishes the guidelines to be complied with by all employees, regardless of their hierarchical level, in the relationship with government operatives and private partners. Click here to view the Anti-Corruption Code (Only Portuguese).

Confidential channel

The Confidential Channel is the appropriate channel for employees, suppliers, partners, and third parties to report cases of non-compliance with YDUQS’s Code of Ethics and Conduct and Anti-Corruption Code, internal policies and procedures, as well as violations of contracts, regulatory standards, laws, or any other matter that may compromise our values and principles.

Additionally, the Confidential Channel can also be used to report:
• Acts of corruption, fraud, and other irregularities under Law No. 12,846/2013 (Brazilian Anti-Corruption Law);
• Violations of human rights;
• Social or environmental issues related to the company’s activities.

The Confidential Channel is managed by an independent and specialized third-party company, ensuring full independence, anonymity, protection of the whistleblower, and non-retaliation. The channel is open to external audiences and can be accessed via phone at 0800 770 0782 or through the website:

Conduct Committee

The Conduct Committee has a crucial role in the Compliance program. It analyzes specific cases with the objective of issuing an opinion on beginning an administrative investigation in cases of claims received through the Canal Confidencial for the application of the appropriate disciplinary measures based on internal policies in effect. Its members are employees from the Company’s key departments.

Ethics Committee

One of the Company’s strategic committees, the Ethics Committee, has a crucial role in the Compliance program: to issue an opinion on the disciplinary measures to be applied, and corrective/preventive actions of high impact and complexity to address claims received through the Canal Confidencial. Its members are the Company’s senior management.

Through YDUQS’S Compliance department, we seek to disseminate our ethical values, strengthening the integrity culture through prevention.
